These Terms and Conditions ("Terms") govern the contractual relationship between remastr.studio ("the Studio", "We", "Us") and any entity or individual purchasing services ("the Client"). By commissioning our services, paying a deposit, or uploading content to our secure platform, the Client agrees to be bound by these Terms.
1.1. Generative Product Photography: The Studio provides a specialized service known as "Generative Product Photography." This process involves the transformation of Client-supplied source images into high-fidelity, commercial-grade visual assets using proprietary AI-driven workflows and creative art direction.
1.2. Remastered Product Imagery: The final deliverables produced by the Studio shall be referred to as "Remastered Product Imagery" (or "Imagery"). All Imagery is AI-generated or AI-enhanced content within the meaning of Article 50 of the EU AI Act.
1.3. Scope Limitation: The Services are strictly limited to the creation of 2D photorealistic imagery. For the avoidance of doubt, the Studio does not provide 3D models, CAD assets, rigged files, or raw CGI project files as part of the standard delivery.
2.1. Use of Generative AI: The Client acknowledges that the Imagery is generated using advanced artificial intelligence models and custom-tuned scripts. This technology allows for the reconstruction and enhancement of products within new digital environments without the need for traditional physical photoshoots.
2.2. Human Refinement: To ensure the highest aesthetic standards and brand consistency, all Remastered Product Imagery undergoes meticulous "Human Refinement." This involves professional photographers and art directors reviewing and post-processing the AI output to ensure it meets the Client's specific brand language.
2.3. Technological Nature: The Client understands that generative AI is an iterative process. While the Studio guarantees photorealistic results, the final Imagery is a digital interpretation based on the source material provided.
2.4. AI Watermarking: In compliance with Article 50(4) of the EU AI Act, every image produced by the Studio is embedded with an invisible, machine-readable watermark at the point of generation. This watermark identifies the content as AI-generated or AI-enhanced and persists through standard image operations. The Client shall not remove, alter, suppress, or circumvent this watermark. Any technical attempt to strip the watermark constitutes a material breach of these Terms and may give rise to liability under applicable law.
3.1. Source Material: The Client is responsible for providing high-quality source photographs of their products. These must be delivered via the Studio's designated encrypted storage solutions.
3.2. Warranties of Ownership: The Client warrants that they hold all necessary intellectual property rights to the source photographs. The Client shall indemnify and hold the Studio harmless against any third-party claims of copyright infringement regarding the provided material.
3.3. Data Retention: While the Studio utilises secure, encrypted storage for the duration of the project, the Client is advised to maintain their own backups of all source material.
3.4. AI Training: Source material submitted by the Client shall not be used to train, fine-tune, or otherwise improve any AI model operated by the Studio or any third party, without the Client's prior written consent.
4.1. Tailored Quotations: All projects are subject to a custom quote based on the volume of data, required resolution, and complexity.
4.2. Look Development Phase: Upon payment of the initial deposit, the project enters the "Look Development" phase. The Studio will present initial samples to establish the visual direction.
4.3. Iterative Refinement: The Client is entitled to three (3) rounds of look development/refinement to finalise the aesthetic style. Once the "look" is formally approved in writing, the Studio will proceed with the mass processing of the remaining batch.
4.4. Final Approval: Any changes requested after the mass processing has commenced or after the third round of refinement may be subject to additional fees.
5.1. Proprietary Technology: remastr.studio retains all rights to its proprietary scripts, AI model configurations, training pipelines, and internal workflows. Nothing in these Terms constitutes a transfer of rights in the Studio's underlying technology.
5.2. Transfer of Rights: Upon receipt of full and final payment, the Studio transfers to the Client Lifetime Ownership and a perpetual, worldwide, exclusive licence to use the Remastered Product Imagery for any commercial, marketing, or editorial purposes. This licence includes the Imagery as delivered with its embedded AI watermark intact.
5.3. Usage Rights: The Client is free to use the Imagery across all e-commerce platforms, social media, print, and advertising without further royalty obligations to the Studio, subject to compliance with the disclosure obligations set out in Section 9.
5.4. Copyright in AI Output: The parties acknowledge that the legal status of AI-generated content under copyright law is evolving. To the extent copyright subsists in the Imagery, it is assigned to the Client upon full payment. The Studio makes no warranty that the Imagery will be protectable by copyright in every jurisdiction.
6.1. Payment Schedule: Unless otherwise agreed, a deposit is required to begin the project, with the remaining balance due upon completion and before the delivery of final high-resolution assets.
6.2. Refunds: Due to the bespoke nature of Generative Product Photography and the computational power required, deposits are non-refundable once the Look Development phase has commenced.
7.1. Commercial Results: While Remastered Product Imagery is designed to drive e-commerce growth and engagement, the Studio does not guarantee specific sales targets, conversion rates, or financial outcomes.
7.2. Technical Limitations: The Studio shall not be held liable for minor discrepancies in the AI's interpretation of complex textures or transparent materials, provided they fall within the agreed-upon aesthetic refined during the Look Development phase.
7.3. Client Compliance: The Studio shall not be held liable for any regulatory fines, penalties, or third-party claims arising from the Client's failure to fulfil the disclosure obligations set out in Section 9. Compliance with applicable AI transparency laws in the Client's jurisdiction is solely the Client's responsibility.
7.4. Cap on Liability: To the maximum extent permitted by applicable law, the Studio's aggregate liability to the Client under these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
8.1. Non-Disclosure: Both parties agree to keep all project-related communications, pricing, and unreleased product data confidential.
8.2. Promotion: The Studio reserves the right to use selected Remastered Product Imagery for its own portfolio and promotional materials unless the Client explicitly requests a Non-Disclosure Agreement (NDA) in writing. Any publicly shared Imagery will be identified by the Studio as AI-generated in accordance with Section 9.
9.1. Regulatory Framework: The Studio operates as a provider of AI systems within the meaning of Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 (the "EU AI Act"). All Imagery constitutes AI-generated or AI-manipulated synthetic content subject to the transparency obligations of Article 50 of that Regulation.
9.2. Technical Marking (Invisible Watermark): In fulfilment of Article 50(4) of the EU AI Act, the Studio embeds a machine-readable, invisible watermark into every image at the point of generation. This watermark: (a) identifies the content as artificially generated or enhanced; (b) is detectable by compliant AI-content detection tools; and (c) is designed to persist through standard compression and resizing operations. The watermark does not affect the visual quality of the Imagery and is imperceptible to the human eye.
9.3. Prohibition on Watermark Removal: The Client shall not, and shall ensure that its employees, contractors, and sublicensees do not, remove, obscure, suppress, or technically circumvent the embedded watermark. Any such action constitutes a material breach of these Terms and may constitute a violation of Article 50(4) of the EU AI Act, exposing the Client to regulatory liability.
9.4. Acknowledgement of AI Nature: The Client expressly acknowledges that: (a) all Imagery delivered under these Terms is produced by or substantially enhanced by artificial intelligence; (b) the Imagery may not be the result of a traditional photographic process; and (c) the AI-generated nature of the content is a material characteristic which the Client is obliged to disclose in accordance with applicable law.
10.1. Mandatory Public Disclosure: When publishing, displaying, or otherwise distributing the Imagery on any public-facing channel — including but not limited to websites, e-commerce product pages, social media platforms, digital advertising, and printed materials — the Client is required to clearly and prominently disclose that the imagery has been created or enhanced using artificial intelligence.
10.2. "AI Enhanced" Badge: An "AI Enhanced" icon/badge is included as part of every project delivery package. The Client agrees to display this badge in reasonable proximity to each published AI-generated image where technically feasible. The badge fulfils the disclosure obligation under Article 50 of the EU AI Act and equivalent national implementing measures. The Studio retains the right to update the badge design to reflect changes in regulatory guidance; updated versions will be made available to existing Clients upon request.
10.3. Equivalent Disclosure: Where the display of an icon is not technically feasible (e.g., in print catalogues or embedded video), the Client shall include a clear textual statement — such as "Images created using artificial intelligence" — in a prominent location on the relevant medium (e.g., a catalogue footer, video credits, or packaging insert).
10.4. Platform Obligations: Many major e-commerce and social media platforms now independently require disclosure of AI-generated content. The Client is solely responsible for ensuring compliance with platform-specific policies in addition to applicable law.
10.5. Geographical Scope: These disclosure obligations apply in all jurisdictions where the Client distributes the Imagery. The Client is responsible for monitoring developments in AI transparency law in each relevant jurisdiction and updating its disclosure practices accordingly. The Studio makes no warranty as to the sufficiency of these obligations for jurisdictions outside the European Economic Area.
10.6. Indemnity: The Client shall indemnify, defend, and hold harmless the Studio and its officers, directors, employees, and agents from and against any claims, damages, fines, penalties, or costs (including reasonable legal fees) arising from the Client's failure to comply with the disclosure obligations in this Section 10.
11.1. Governing Law: These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to conflict of law principles. Where applicable, EU law — including the EU AI Act — takes precedence.
11.2. Dispute Resolution: In the event of a dispute arising out of or in connection with these Terms, the parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached within thirty (30) days, the dispute shall be referred to the competent courts of the Czech Republic.
11.3. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.4. Entire Agreement: These Terms, together with any project-specific quotation or statement of work, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements and understandings.
